For more than a decade, Joshua has honed his skills as a commercial lawyer – both in litigation and transactions – by serving as de facto general counsel for businesses of all sizes.  By learning the ins and outs of his clients various enterprises, Joshua has developed a very particular set of skills over his long career.  These skills allow Joshua a benefit to bring a refined skillset to assist his clients in a wide variety of disputes. 

Joshua has a breadth of experience, from relatively smaller business disagreements to representing business owners in multi-million dollar disputes, including contract breaches, corporate divorce, collections and enforcement of large commercial judgments. On the transactional side, Joshua’s notable experience includes sales and purchases of multi-million dollar businesses, corporate restructuring, distribution agreements, and licensing agreements.  Joshua’s experience also includes critical assistance with the ins-and-outs of the daily operations of several successful businesses, and his involvement in such instances have been invaluable to many of his long-standing clients.  When Joshua joined Broening in 2018, he brought with him the knowledge and experience he has gained from working with business owners throughout the Valley and in other states across the country, as well as his personal commitment to helping his clients grow and prosper.

Joshua graduated with Distinction from the University of Iowa College of Law.  Afterwards he served as a Law Clerk to Justice (Ret.) James H. Carter of the Iowa Supreme Court. Joshua has also taught Contracts II as an adjunct professor at the Phoenix School of Law, as well as Business Law at the Des Moines Area Community College. Joshua is also involved in the Active Phoenix 20-30 Club, an organization that raises money to benefit various children’s charities in the Valley.

Litigation

Obtained summary judgment on behalf of judgment creditor client setting aside judgment debtor’s multi-tiered fraudulent commercial real estate transfers.

Lead counsel on successful prosecution of rogue key former employees attempting to usurp client’s customers and assets and misappropriate trade secrets, ultimately retrieving assets, obtaining lengthy restriction on competition and monetary compensation settlement award.

Obtained numerous judgments in breach of contract lawsuits on behalf of manufacturers, retailers and various service providers against customers and vendors.

Successfully prosecuted and defended numerous fiduciary duty and business tort lawsuits on behalf of majority and minority owners of closely-held businesses.

Obtained summary judgment on behalf of retailer client against former employee alleging retailiation and violations of the Age Discrimination in Employment Act.

Obtained judgment for executive-level employee against former employer for wrongly withheld compensation.

Transactions

Lead counsel in numerous multi-million dollar transactions involving sale or acquisition of businesses and related real estate in variety of service, manufacturing and retail industries.

Represented employers in negotiating and drafting numerous executive and key employee agreements.

Negotiated, drafted and revised innumerable agreements related to clients’ regular operations, including purchase, customer, vendor, distributor and licensing agreements.
